Sniper Xray™ – Terms of Service

Effective Date: November 15, 2025

These Terms of Service (“Terms”) govern your use of www.sniperxray.com (the “Site”) and all purchases, preorders, or use of Sniper Xray™ products (the “Products”).
The Site and Products are owned and operated by Glide LLC, a Wyoming limited liability company (“Sniper Xray,” “we,” “us,” or “our”).

By accessing the Site or placing an order, you agree to these Terms.

1. Professional Use Only

Sniper Xray™ Products are professional dental instruments intended exclusively for licensed dental professionals.

By placing an order, you confirm that:
• You are a licensed dental professional or acting on behalf of a licensed practice
• You will not sell or supply the Products to non-professional users

We may cancel any order that does not meet these requirements.

The Sniper Xray™ system remains under U.S. Patent Pending protection.
Purchasing the device does not grant any license or rights to reproduce, adapt, or derive products based on its geometry, design, or technical concept.
Use of the product is strictly limited to clinical practice within the scope of professional dental care.

3. Manufacturing Quality and Regulatory Compliance

Sniper Xray™ Products are manufactured in an ISO 13485:2016-certified medical device facility that complies with international medical device quality standards and holds valid EU MDR transitional approvals through a Notified Body.

Before distribution in the United States, Sniper Xray™ will complete:
• FDA establishment registration
• Compliance with applicable FDA requirements for Class I, Exempt dental instruments
• Proper labeling and documentation as required by U.S. law

These measures ensure medical-grade traceability, quality, and regulatory alignment.

4. Orders and Preorders

All orders placed through the Site are preorders.

By placing a preorder, you acknowledge that:
• The Product is in a pre-commercial launch phase
• Manufacturing begins immediately after your order
• Estimated shipping window is March 2026 (not guaranteed)
• Timelines may change due to regulatory or production factors

We may accept or reject any preorder at our discretion.

5. Preorder Sales Are Final (No Cancellations)

Each Sniper Xray™ unit is manufactured individually for each preorder.

Because production begins immediately:
All preorder sales are final. No cancellations or refunds are accepted once the order is placed.

Please ensure your clinical decision before completing your preorder.

6. Pricing and Payment

Prices are listed in USD.
Shipping cost is included unless stated otherwise.
Prices exclude taxes, customs duties, VAT, or import fees.

Payment must be received before your preorder is accepted.

7. Shipping and Risk of Loss

Risk of loss transfers to you when the Product is handed to the carrier.
Delivery times may vary based on logistics conditions.

8. Use Outside the United States

Sniper Xray™ Products are designed, labeled, and intended for use within the United States.

If you transport or use the Product outside the U.S.:
• You are fully responsible for local regulatory compliance
• Sniper Xray™ provides no regulatory clearance outside the U.S.
• Warranty and performance claims apply only within the United States

9. Returns and Regulatory Restrictions

Sniper Xray™ is a professional medical instrument.
Therefore:
• No returns or exchanges are accepted for non-defective Products
• Medical instruments cannot re-enter the supply chain once delivered
• Only verified manufacturing defects may qualify for replacement under warranty

10. Limited Warranty – Manufacturing Defects Only

Sniper Xray™ Products are warranted against manufacturing defects for one (1) year from delivery.

Covered:
• Defects in materials or workmanship under normal professional use

Not covered:
• Misuse, dropping, bending, improper sterilization
• Wear or cosmetic changes
• Use with non-Sniper Xray™ components
• Any clinical or treatment-related costs

We may repair, replace, or refund at our discretion.

11. Professional Responsibility Disclaimer

You acknowledge that:
• Sniper Xray™ supports radiographic positioning
• Clinical assessment, radiographic interpretation, and patient evaluation remain solely your responsibility
• Sniper Xray™ does not replace diagnostic judgment

Sniper Xray™ is not liable for treatment decisions or clinical outcomes.

The Sniper Xray™ system is protected as a U.S. Patent Pending invention.
All rights related to its radiographic geometry, design, and functionality are reserved.
Any attempt to copy, replicate, reverse engineer, or commercialize any component, concept, or methodology of the Sniper Xray™ device without written authorization from Glide LLC is strictly prohibited and may result in legal action, including claims for damages and injunctive relief.

12. Intellectual Property, Anti-Copying and Anti-Reverse Engineering

All intellectual property related to Sniper Xray™, including design, mechanics, CAD files, manufacturing methods, trade secrets, trademarks, packaging, and documentation, is the exclusive property of Glide LLC.

You agree that you will not:
• Copy, replicate, imitate, or manufacture similar or derivative devices
• Attempt reverse engineering, disassembly, measurement, scanning, CAD reconstruction, or replication of any component
• Share technical materials, imagery, CAD, or internal design with third parties
• Use the Product for competitive analysis or product duplication

Any attempt to copy or reproduce the Sniper Xray™ design constitutes a material breach and may result in:
• Immediate legal action
• Claims for damages
• Injunctive relief
• Recovery of all legal costs
• Civil and, where applicable, criminal liability

Sniper Xray™ aggressively enforces its intellectual property rights.

13. Indemnification

You agree to indemnify Sniper Xray™ from all claims arising from:
• Misuse or unauthorized use
• Clinical outcomes or decisions
• Violation of these Terms
• Unauthorized reproduction, imitation, or reverse engineering

14. Governing Law and Arbitration

These Terms are governed by the laws of the State of Wyoming, USA.

All disputes will be resolved through binding individual arbitration conducted in English in the United States.
No class actions are permitted.

15. Updates to Terms

We may update these Terms at any time. Continued use of the Site constitutes acceptance.
